A team of McGuireWoods corporate and securities lawyers, led by securities partners Stephen Older and Rakesh Gopalan, advised the underwriters and joint book-running managers Rodman & Renshaw, a unit of H.C. Wainwright & Co., LLC, and Joseph Gunnar & Co., LLC, in the U.S. initial public offering of American Depositary Shares and warrants of Oasmia Pharmaceutical AB (NASDAQ: OASM). The transaction closed on Oct. 28, 2015.
Swedish pharmaceutical company Oasmia develops innovative cancer treatments for humans and pets. Its proprietary technology is used to help deliver intravenous drugs without the addition of toxic solvents.
The American Depositary Shares trade on the NASDAQ Capital Market, while the ordinary shares underlying the ADSs trade on NASDAQ Stockholm and the Frankfurt Stock Exchange.
“This transaction underscores the depth of our securities practice across the firm and our experience in underwriters’ counsel-side work,” Older said. “In the IPO transaction, in addition to our securities laws advice, we guided the underwriters through the broker-dealer/FINRA filing process.”
In addition to Older and Gopalan, the McGuireWoods team included Anitra Cassas, who handled all aspects of the FINRA filing process; John Cornelius, Josefin Lonnborg, and Jillian Nyhof. Brian Malkin advised on FDA regulatory matters, and Michael Rodgers and Gerald Thomas assisted on tax matters.
