McGuireWoods advised longtime private equity client Summit Park in its recapitalization of United Structural Systems (USS).
Headquartered in Charlotte, North Carolina, Summit Park invests in lower middle-market consumer, services and industrial growth businesses. USS is a provider of foundation repair, crawlspace repair and basement waterproofing services. The recapitalization also includes Titan Products, a USS sister company that manufactures and distributes foundation repair and related products to service companies throughout the country.
Charlotte partner H. Ramsey White III and associate Timothy Malloy led the McGuireWoods team, while lawyers from multiple firm practices and offices advised on the deal’s financing, labor and employment issues, intellectual property matters and real estate components.
“We were proud to assist Summit Park in closing this important transaction, which positions USS for future growth,” White said. “Summit Park is a valued client and we look forward to continuing our longstanding relationship.”
McGuireWoods serves as go-to counsel to Summit Park and many of its portfolio companies. The firm recently counseled Summit Park in its sale of Aspirent Consulting, a data and analytics and digital transformation consultancy, to NTT DATA. McGuireWoods also represented Summit Park in its 2022 majority recapitalization of Curion LLC, a data-driven provider of consumer insights to Fortune 500 companies.
McGuireWoods ranked among the leading law firms for U.S. M&A deals in 2022. Its private equity capabilities have earned nationwide recognition from Chambers USA and The Legal 500. The firm also was a finalist in six deal categories for the 2022 M&A Advisor Awards, which recognized top corporate transactions and the firms involved in closing them.
