Tasha focuses her practice on public and private securities offerings of debt and equity, mergers and acquisitions, corporate governance matters for public and private companies and general securities law.

Tasha advises public companies with their U.S. securities law reporting and disclosure requirements including 34 Act reporting and preparing for annual meetings. Tasha also has experience representing issuers and underwriters in initial public offerings and follow-on offerings and advising public and private companies in mergers and acquisitions.

Prior to law school, Tasha worked for a variety of insurers handling claims for individuals, corporations and Virginia municipalities. While in law school, Tasha served as student advocate on the Honor Council and was article & comments editor of University of Richmond Law Review.

Experience

  • Representation of Titan Partners Group, a division of American Capital Partners, as sole bookrunner, in connection with the $22.4 million initial public offering of common stock by Actuate Therapeutics, Inc. (Nasdaq: ACTU), a clinical stage biopharmaceutical company focused on developing therapies for the treatment of high impact, difficult to treat cancers.
  • Advises clients on SEC filings including quarterly and annual filings and proxy statements.
  • Representation of Avenue Therapeutics, Inc. (Nasdaq: ATXI), a specialty pharmaceutical company focused on the development and commercialization of therapies for the treatment of central nervous system diseases, in a $12 million follow-on public offering of units consisting of common stock (or pre-funded warrants) and warrants.
  • Representation of a Fortune 500 company in connection with the registered public offering of $1 billion senior notes.
  • Representation of a digital marketing and advertising firm in connection with its $15.4 million initial public offering of common shares.
  • Representation of a public utility company in multiple offerings of senior notes.
  • Representation of the purchaser in connection with the purchase of a $40 million oil and gas company.
