Elissa focuses on corporate services and transactional and regulatory matters for healthcare providers and companies.

In this capacity, she concentrates on acquisitions, divestitures, mergers, private offerings of securities, governance and corporate formation issues, and joint ventures. She has drafted and assisted with negotiation of purchase agreements and other transaction documents, operating agreements, management agreements, lease agreements and medical director agreements. She has counseled ambulatory surgery centers, hospitals, physician groups and other healthcare providers with respect to Medicare and Medicaid fraud and abuse laws, the Stark Act, tax-exemption issues and general healthcare compliance issues.

Experience

  • Representation of a private equity fund in the multi-million dollar acquisition of an administrative services provider to a multi-site ophthalmology practice in New York.
  • Represented national ambulatory surgery center management company in acquisitions of surgery centers.
  • Represented physician-owned hospitals in sales to national acquirers.
  • Negotiated surgery center lease agreements on behalf of national ambulatory surgery center company.
  • Represented large physician group in general corporate governance issues and drafting of governance documents, employment agreements, space and equipment leases and purchase documents.
  • Negotiated management agreement, physician employment agreements and leases in connection with co-management of surgery center by hospital.
