Spencer focuses his practice on M&A and securities, representing purchasers, sellers, underwriters, issuers, and other parties in a wide variety of corporate transactions and offerings.

Spencer received his BA in Foreign Affairs and Master of Public Policy from the University of Virginia and his JD from Fordham University School of Law. While in law school, Spencer served as the managing editor of the Fordham International Law Journal, during which he published two pieces of legal scholarship.

In between his studies at the University of Virginia and law school, Spencer worked as an analyst at a consulting firm in New York City, serving institutional clients in agricultural, education, energy, health, hospitality, industrial, and transportation sectors.

  • Representation of Wasserman Media Group, a global sports, music and marketing agency, in a number of domestic and international acquisitions of talent agencies that represent and manage athletes, musicians, sportscasters, and influencers.
  • Representation of JF Petroleum Group, a leading North American provider of fueling systems solutions, in an add-on acquisition of petroleum services and construction companies Buckeye Oil Equipment and Reliable Construction Services.
  • Representation of Thrive, a leading provider of NextGen managed services, in a number of add-on acquisitions that significantly expanded its geographic reach and enhanced its Next Generation Technology platform.

Securities & Capital Markets

  • Representation of Newbridge Securities Corporation, as exclusive placement agent, in connection with a $12.4 million private placement of common stock, pre-funded warrants and warrants by IN8bio, Inc. (Nasdaq: INAB), a leading clinical-stage biopharmaceutical company focused on innovative gamma-delta T cell therapies.
  • Representation of Oppenheimer & Co. as financial advisor to the Special Committee of the Board of Directors of Ashford (NYSE American: AINC) in connection with its reverse stock split to subsequently delist its shares.
  • Representation of SinglePoint Inc. (Cboe: SING), a diversified holding company principally engaged through its subsidiaries in providing renewable energy solutions and energy-efficient applications, in its $4 million initial public offering of common stock. SinglePoint is the first issuer to list its equity on the Chicago Board of Exchange.
  • Representation of Essen Health Care, a multi-specialty, patient-focused healthcare delivery platform, in obtaining Series B equity investments from healthcare-focused private equity funds.
  • Representation of a group of investors in connection with a private investment in public equity (PIPE) offering by a life science company.
  • Representation of issuers and guarantors in connection with the registration and sale of structured notes.
