Steven focuses his practice on the representation of financial institutions in connection with the structuring, negotiation and documentation of syndicated, club and single lender senior credit facilities.
He has also represented corporations in obtaining debt financings. His experience includes investment grade financings, leveraged acquisition financings (involving strategic buyers and private equity firms), multicurrency and cross-border financings, first lien and second lien financings and asset based financings and covers all industry sectors, with an emphasis on financings to middle market companies – especially those involved in the beverage and restaurant industries.
Experience
- Representation of financial institution as an administrative agent /lead arranger or a lender in more than 40 senior secured credit facilities (ranging in size from $15 million to $600 million) for beer wholesalers, brewers, wine and spirits companies and soft drink bottlers.
- Representation of the administrative agent and lead arranger in a $63.5 million syndicated senior secured credit facility for a private equity sponsored acquisition of 76 franchise restaurants.
- Representation of the administrative agent and lead arranger in a $50 million syndicated senior secured credit facility for a private equity sponsored acquisition of 98 franchise restaurants.
- Representation of the administrative agent and lead arranger in a $126.5 million syndicated senior secured credit facility for a strategic acquisition of a telecommunications company.
- Representation of private equity firm in a $50 million syndicated secured credit facility for the acquisition of a professional sports team.
- Representation of the administrative agent and lead arranger in a $1 billion syndicated credit facility for a medical device manufacturer.
- Representation of the administrative agent and lead arranger in a $600 million syndicated secured credit facility for an engineering and construction contracting company.
- Representation of the administrative agent and lead arranger in a $400 million syndicated secured credit facility for a home improvement retailer.
