Preston focuses his practice on securities, capital markets, corporate governance, mergers and acquisitions and other corporate matters.
Preston received his BA in Political Science from John Carroll University and his JD from Washington University in St. Louis School of Law (“WashU”).
While at WashU, Preston served as a Research Assistant for Professor Kyle Rozema and participated in the Entrepreneurship and IP Clinic. Additionally, Preston served as a Peer Career Advisor, Admission and Career Center Liaison for the Black Law Students Association and he also worked as a Legal Intern at FedEx Ground.

- Representation of Titan Partners Group, a division of American Capital Partners, as sole bookrunner, in connection with a $15.0 million public offering of common stock and pre-funded warrants by enVVeno Medical Corporation (Nasdaq: NVNO), a late clinical-stage medical device company focused on the advancement of innovative bioprosthetic (tissue-based) solutions to improve the standard of care for the treatment of venous disease.
- Representation of one of the largest energy and utility companies in the U.S. in multiple securities and corporate governance matters, including a $1.8 billion at-the-market (ATM) common stock program.
- Representation of one of the largest energy and utility companies in the U.S. in multiple securities and corporate governance matters, including a $2.4 billion sale of a 19.9% equity interest in NIPSCO, Indiana’s largest vertically integrated electric and gas distribution company, to an affiliate of Blackstone Infrastructure Partners.
- Representation of a global sports, music and entertainment agency in connection with an M&A/investment transaction, involving its acquisition of a Dallas-based talent management agency.
- Representation of a packing solutions company in connection with the offering of $425 million aggregate principal amount of 7.250% senior notes due in 2031.
- Representation of a premier investment banking boutique, as exclusive placement agent, in connection with a $3.0 million private placement of common stock by a bio-aesthetics company focused on skin and hair health.
